1. Introduction

This Agreement forms a binding contract between you and Sphere Min Inc., a Delaware corporation. These Terms shall be governed by the laws of the State of Delaware and applicable U.S. federal law. By accessing or using our Services on www.spheremin.com (the "Website") or the STU mobile application (the "STU"), you agree to, and are bound by this Agreement. Jurisdiction and venue shall lie exclusively in the state and federal courts located in Delaware, United States.

You acknowledge and agree that these Terms are provided in connection with the beta testing phase of the Service, and may be updated or modified from time to time to meet operational requirements.

These Terms may be modified from time to time. In the event of significant changes, we will post an updated version of the Terms along with the effective date on this page. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms and you will be legally bound by them.

2. Account Eligibility and User Responsibilities

To use the Service, you must meet all of the following criteria. Failure to meet these requirements may result in restrictions on your use of STU:

• You must be at least 18 years old to use STU, but you must be the age of majority in your jurisdiction to create an account capable of forming a binding contract;

• You are legally capable of entering into a binding agreement with STU;

• You are not subject to sanctions by the U.S. government;

• You have no prior convictions for sex crimes or serious felonies (STU does not conduct background checks; you are solely responsible for meeting these eligibility requirements.);

• You have not previously been banned from using STU.

Additionally, you agree not to engage in the following activities:

• Collecting, sharing, or misappropriating others’ personal information;

• Disrupting, attacking, or interfering with the STU system, functions, or network;

• Uploading or sharing prohibited content (see Section 3: Prohibited Content);

• Distributing false information, spam, pyramid schemes, scams, financial crimes, or content related to sex work or prostitution;

• Infringing our intellectual property rights;

• Modifying, adapting, sublicensing, translating, selling, reverse engineering, decoding, decompiling, disassembling, or encouraging others to do so with any part of the Service;

• Using or developing third-party apps to interact with our Service or content without our written consent (this includes AI or machine learning systems);

• Accessing the Service through automated means (e.g., bots) without authorization;

• Unauthorized crawling, reverse engineering, or use of any access method other than our publicly available API, including unauthorized scraping or automated data extraction;

• Uploading viruses or malicious code, or otherwise compromising the security of the Service;

• Forging headers or manipulating identifiers to disguise the origin of content transmitted through the Service;

• Framing or mirroring any part of the Service without our prior written approval;

• Submitting knowingly false, misleading, or baseless reports about users or content, or abusing our user reporting or appeal system.

Any license or access rights granted under these Terms will automatically be revoked if you engage in any of the above activities.

3. Prohibited Content

The following types of content are strictly prohibited on STU:

• Content that is obscene, pornographic, violent, hateful, or promotes discrimination;

• Content that harasses, bullies, stalks, threatens, defames, harms, or causes psychological distress to others;

• Content that is offensive, threatening, discriminatory, or promotes or incites racism, sexism, hate, or prejudice;

• Content that promotes or facilitates any illegal activity, including but not limited to terrorism, racial hate speech, or acts considered criminal under applicable laws;

• Content that encourages or enables harmful activities such as self-harm, eating disorders, dangerous challenges, or violent extremism;

• Content that defames others, invades privacy, or infringes on intellectual property rights;

• Content that includes commercial advertisements, sex work, financial solicitation, or scams;

• Content depicting or related to child sexual abuse/exploitation (see Section 5: Child Sexual Abuse and Exploitation Materials (CSAE) Policy);

• Content involving nudity or sexually suggestive acts of minors;

• Misappropriation or commercial misuse of user-generated content;

• Content that materially undermines the operation, safety, or brand integrity of STU, including any content uploaded or shared on the platform that defames or promotes misuse of STU’s service;

• Any other content that violates safe community standards.

Violations may result in immediate content removal and suspension or termination of the offending account.

4. Content and Intellectual Property Rights

While using our Service, you may access the following types of content:

• (i) Content uploaded or provided by you while using the Service (“Your Content”), including content generated using features suggested by STU;

• (ii) Content uploaded or provided by other users (“User Content”);

• (iii) Content provided by STU through or within the Service (“Our Content”).

• 
  “Content” in these Terms includes all audio and other materials within the Service, as well as user profile information.

Your Content

You are responsible for Your Content. Do not share anything you don’t want others to know, that violates these Terms, or that could expose you or us to legal liability. You agree to indemnify, defend, and hold us harmless from any claims related to Your Content. You retain ownership of all rights to Your Content. However, to operate and improve the Service, STU is granted a worldwide, non-exclusive, royalty-free license to use Your Content.

You agree that:

• You have the necessary rights to share Your Content;

• STU may, at its sole discretion, monitor or review Your Content, and may store, reproduce, display, modify, remove, analyze, enhance, and distribute it at any time;

• Other users may view and share Your Content both inside and outside the Service.

User Content

User Content belongs to the individual users. Except as permitted under these Terms, you may not copy or use other users’ content for any purpose, including commercial use, spam, harassment, or illegal threats.

User Content may contain biased, inaccurate, harmful, offensive, or misleading information. STU is not responsible for the accuracy of Member Content and claims the protections of Section 230 of the U.S. Communications Decency Act. You are responsible for reviewing and verifying its accuracy before relying on or acting upon it. Users are solely responsible for their own content and any decisions or actions taken based on it.

6. Children’s Privacy

STU is not directed to or intended for children under 18 (or the minimum age required by local law). We do not knowingly collect personal information from children. If we become aware that we have inadvertently collected personal information from a child, we will take steps required by applicable law, which may include deleting such information. Beyond those legal obligations, we assume no responsibility or liability for false representations made by users regarding their age or eligibility. Responsibility for providing accurate registration information rests solely with the user or, where applicable, their legal guardian.

Our Content

STU owns or licenses all other content provided through the Service.

All text, content, graphics, user interfaces, trademarks, logos, sounds, artwork, images, and other intellectual property displayed on the Service are owned, controlled, or licensed by STU, and are protected by copyright, trademark, and other intellectual property laws.

All rights, title, and interest in Our Content remain with STU. STU grants you a limited license to access and use Our Content as defined in the next section (“Rights Granted to You by STU”), while reserving all other rights.

Right Granted to You by STU

As long as you comply with these Terms, STU grants you a non-exclusive, non-transferable, and limited license to access and use the STU Service for its intended purposes, as permitted under these Terms and applicable laws.

This license may be revoked at any time at STU’s discretion, especially in the event of a violation of the Terms. You retain ownership of all content you upload to the STU Service. However, by doing so, you hereby grant STU the following rights:

• a worldwide, non-exclusive, royalty-free, sublicensable license to access, use, host, store, reproduce, adapt, modify, distribute, publish, display, process, analyze, and create derivative works from Your Content, including any associated username, profile information, voice, likeness, or identifiers provided in connection with the Service, in any existing or future media or distribution channels, for purposes related to operating, maintaining, improving, developing, promoting, and providing the Services.

• This license further includes the right for STU and its affiliates, partners, service providers, infrastructure providers, researchers, contractors, and authorized third parties to access, use, process, analyze, store, distribute, or otherwise make available Your Content, including voice recordings, conversational activity, behavioral patterns, emotional signals, interaction history, and related data, for purposes related to the operation, improvement, research, development, training, evaluation, optimization, and support of artificial intelligence, machine learning, analytics, and related technologies. You also acknowledge and agree that STU may remove, modify, anonymize, or otherwise process metadata associated with Your Content, and, to the fullest extent permitted under applicable law, waive any moral rights, attribution rights, or similar claims relating to the authorized use of Your Content.

• This license further includes the right for STU and its affiliates, partners, service providers, infrastructure providers, researchers, contractors, and authorized third parties to use, process, analyze, and store Your Content, including voice recordings, conversational activity, behavioral patterns, emotional signals, interaction history, and related data, for the research, development, training, evaluation, optimization, and support of artificial intelligence, machine learning, analytics, and related technologies. You also acknowledge and agree that STU may remove, modify, anonymize, or otherwise process metadata associated with Your Content and, to the fullest extent permitted under applicable law, waive any moral rights, attribution rights, or similar claims relating to the authorized use of Your Content.

5. Child Sexual Abuse and Exploitation Materials (CSAE) Policy

STU complies with U.S. federal law (18 U.S.C. §2258A) and reporting obligations to NCMEC (National Center for Missing & Exploited Children).

5-1. Prohibition of CSAE Content

STU explicitly prohibits the creation, upload, or distribution of any content that depicts or encourages child sexual abuse or exploitation.

The following actions or content will result in immediate deletion and account termination:

• Inappropriate interactions with minors (e.g., fondling, groping)

• Child grooming (soliciting sexual interaction with minors online)

• Sexual objectification or inducement to exchange explicit images of minors

• Threatening or coercing minors to share sexual images

• Child trafficking or advertisements for sexual exploitation

5-2. CSAM Handling Procedure

Upon identification of CSAM (Child Sexual Abuse Materials), STU will remove the content immediately and report it to the National Center for Missing & Exploited Children (NCMEC) or relevant local law enforcement authorities in compliance with applicable law. This procedure is authenticated and internally enforced by STU.

5-3. In-App Reporting Features

Users can report inappropriate content or users through the app using the methods described in Section 6. STU promptly reviews and takes appropriate action based on all reports received.

5-4. Restriction of Harmful Content to Children

STU prohibits content that, while adult-oriented, may appeal to children—for example, content glamorizing violence, plastic surgery, or extreme weight loss.

5-5. Child Safety Response System

STU has appointed an internal child safety officer to ensure prompt and responsible handling of all child protection concerns.

STU maintains a zero-tolerance policy for any form of child neglect, exploitation, or endangerment.

6. Reporting, Blocking & Takedown

We are committed to maintaining a positive and respectful community and do not tolerate inappropriate content or illegal activities on the STU Service. You are encouraged to report any inappropriate user content or unlawful behavior through the following methods:

• Report a user directly using the in-app user report feature

• Report specific content using the in-app content report feature

• Block the user using the in-app block feature

• Contact our customer support team

We review reports in accordance with our Reported Content Policy (Section 7).

Member content is subject to Sections 512(c) and/or 512(d) of the Digital Millennium Copyright Act (DMCA) of 1998. STU qualifies as a ‘service provider’ under 17 U.S.C. §512 and asserts all available safe harbor protections. Repeat infringers will have their accounts terminated. To file a complaint regarding content that may infringe on your intellectual property rights, please refer to Section 11.

7. Reported Content Policy

Content that violates our community standards or legal obligations may be removed. If a STU or a user is reported, we review the report and may take action, including removing the STU, restricting visibility, or suspending the user account.

Grounds for removal include (but are not limited to):

• Too Offensive

• Sexually Explicit

• Soliciting

• Spamming

• Harassment

• Suicide or Injury

• False Information

• Other

When a STU is removed following this Policy, it will display the following message to the reporting or original user:“This STU is no longer available. It was removed following our Reported Content Policy.”This Policy forms an integral part of these Terms of Service.

8. Disclaimer of Warranties and Limitation of Liability

STU provides its Service “as is” and “as available” to the extent permitted by law, and makes no warranties, express, implied, statutory, or otherwise, regarding the Service or any content therein. We do not take responsibility for the identity, intentions, legality, or truthfulness of users you may communicate with via the Service. All content or materials obtained through the STU Service are accessed at your own risk and discretion.

The Terms of Use of this Service are provided in connection with the beta testing phase and may be updated or modified from time to time to meet operational requirements. Use of the Service is also subject to our Privacy Policy. The Company reserves the right, in its sole discretion, to modify, amend, restrict, suspend, or terminate all or any part of the Service at any time without prior notice, and shall not be liable for any damages arising from the use of the Service or from changes to such policies.We do not guarantee:

• That the Service is fit for a specific purpose or uninterrupted

• Recovery of lost data, system errors, or uninterrupted access

• Protection from harmful content posted by third parties

• Any outcome or benefit from interactions with other users

To the maximum extent permitted by law, STU’s aggregate liability shall not exceed the greater of (i) amounts you have paid to STU in the six (6) months preceding the claim, or (ii) one hundred U.S. dollars ($100).

9. Identity Verification and Indemnification

9-1. Identity Verification and Responsibility

STU does not conduct identity verification or criminal background checks on users and makes no guarantees about the safety, legality, or authenticity of any user interactions. You are solely responsible for exercising caution and judgment in your interactions with others through the Services. STU disclaims all liability for the conduct, identity, intentions, or representations of its users.

9-2. Your Indemnification of STU

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless STU, its affiliates, officers, directors, employees, agents, and partners from and against any complaints, demands, claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

• your access to or use of the Services;

• any Content you upload, your conduct, or your violation of these Terms;

• any act or omission by you that impacts STU, its affiliates, officers, employees, agents, or partners.

Some jurisdictions do not allow the full scope of indemnification provided herein, and in such cases, this provision may not apply to you to the extent prohibited by law.

Nothing in this indemnity limits your rights under the Washington State Consumer Protection Act or other non-waivable consumer protection laws.

10. Account Deletion & Termination

You may delete your account at any time through the [Delete my account] feature within the app settings. Upon account deletion, certain information may be retained to comply with legal obligations (e.g., child exploitation reports, lawful subpoenas, court orders). Deleted data cannot be restored. Even after account deletion, certain provisions of this Agreement may continue to apply. Your data will be deleted or retained in accordance with our [Privacy Policy].

STU may terminate your account without prior notice if you violate these Terms, misuse the Service, or due to legal requirements.

11. Digital Millennium Copyright Act (DMCA)

If you believe your copyright has been infringed on STU, please send a written notice to privacy@spheremin.com including the following information:

• A physical or electronic signature of the copyright owner or authorized agent

• Identification of the copyrighted work claimed to have been infringed

• Identification of the allegedly infringing material and its location on the STU platform

• Your contact information (address, phone number, and email)

• A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law

• A statement, under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on their behalf Users who repeatedly infringe copyright may have their STU accounts permanently terminated.

  
  

12. Advertisements & Third-Party Links

The STU Service may include third-party advertisements, promotions, and links to external websites or resources. STU does not guarantee the availability, content, or results of third-party advertising. You must interact with third-party services subject to their own terms. STU disclaims all liability for such third-party conduct or content.

13. Acceptance & Modification of Terms

By using STU, you consent to electronic communications and agree that your electronic acceptance has the same legal effect as a physical signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act).

These Terms represent the complete and exclusive agreement between you and STU, superseding all prior agreements or representations.

You acknowledge and agree that the Service is currently provided in a beta testing phase, and that these Terms and related policies may be updated or modified from time to time to meet operational requirements. Significant changes will be posted on this page along with the effective date. Continued use of the Service after changes means you accept the revised Terms.

14. Acceptance & Modification of Terms

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the state and federal courts located in Delaware, United States. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.
